MPAA Moves to Shut Down Online Rental Service Zediva

The Motion Picture Association of America asked a federal judge on Thursday to grant a preliminary injunction to stop Zediva, an online movie rental outlet, from operating.

Zediva is the latest in a long line of upstarts to look at how Hollywood does business with release windows and bifurcated rights and think there must be a simpler way.

In Zediva's case, the company saw that on one hand, brick-and-mortar DVD rental stores are allowed to rent its users the latest DVD releases, and on the other hand, online streaming services like Netflix can't because of a perceived need to get permission from Hollywood studios.

So Zediva cut through the red tape by splitting the middle: The company believes it operates a DVD rental store. The only difference here is that its customers rent both DVDs and DVD players and remotely control each over the Internet. By doing it this way, Zediva claims that it doesn't need Hollywood approval. The studios, unsurprisingly, are challenging that assessment.?

Is Zediva exhibiting films to the public or merely giving individuals a more convenient way to enjoy rented films privately?

The question of "public" vs. "private" may seem trivial semantics, but it's likely to make the difference in the outcome of the dispute.

"It defies common sense to say, as the Studios do, that putting a longer cable between a DVD player and its single viewer transforms a private performance into a public performance," said Zediva in its answer and counterclaim on May 16th.

The MPAA see things differently.

"Defendants omit the fact that what they call a 'very long cable' is in fact a?transmission?over the Internet, and not the handing over of a copy to a user," says the MPAA in its motion?filed Thursday asking for an injunction. "The transmission is what makes Defendants? conduct a public performance under the?statutory definition."

If a court sees what Zediva is doing as a private performance, it's possible that it will come down similar to the way that courts did when Cablevision announced it was going to let subscribers store TV programs on its remote servers. The entertainment industry objected, but the Second Circuit Court of Appeals denied its attempts to kill the service, ruling it was a private performance.

The studios are confident, though, that courts will see what Zediva is doing as public exhibition. One of the cases it points to is an old one where a brick-and-mortar shop?rented videotapes to customers, along with private 4?x6? exhibition booths in the rear of the store. The Third Circuit?deemed this to be a public performance, not a private one, and found it illegal.

Both the MPAA and Zediva are bringing top intellectual property lawyers to the fight. On the MPAA's side are attorneys from Munger Tolles & Olson, who helped to destroy Limewire. In Hybrid Constitutions, Vicki Hsueh contests the idea that early-modern colonial constitutions were part of a uniform process of modernization, conquest, and assimilation. Through detailed analyses of the founding of several seventeenth-century English proprietary colonies in North America, she reveals how diverse constitutional thought and practice were at the time, and how colonial ambitions were advanced through cruelty toward indigenous peoples as well as accommodation of them. Proprietary colonies were governed by individuals (or small groups of individuals) granted colonial charters by the Crown. These proprietors had quasi-sovereign status over their colonies; they were able to draw on and transform English legal and political instruments as they developed constitutions. Hsueh demonstrates that the proprietors cobbled together constitutions based on the terms of their charters and the needs of their settlements. The ?hybrid constitutions? they created were often altered based on interactions among the English settlers, other European settlers, and indigenous peoples.

Hsueh traces the historical development and theoretical implications of proprietary constitutionalism by examining the founding of the colonies of Maryland, Carolina, and Pennsylvania. She provides close readings of colonial proclamations, executive orders, and assembly statutes, as well as the charter granting Cecilius Calvert the colony of Maryland in 1632; the Fundamental Constitutions of Carolina, adopted in 1669; and the treaties brokered by William Penn and various Lenni Lenape and Susquehannock tribes during the 1680s and 1690s. These founding documents were shaped by ambition, contingency, and limited resources; they reflected an ambiguous and unwieldy colonialism rather than a purposeful, uniform march to modernity. Hsueh concludes by reflecting on hybridity as a rubric for analyzing the historical origins of colonialism and reconsidering contemporary indigenous claims in former settler colonies such as Australia, New Zealand, and the United States.

In his review, Christopher Brooks (East Stroudsburg University) wonders whether Hsueh "pay[s] short shrift to money, the primary concern of every colony" and ponders Hsueh's "curious omission" of the role of Enlightenment thinking. The full review is here.

The answer to that question is a resounding, ?YES!? Contracts are what drive the music industry. When someone speaks of landing a ?record deal?, they are inherently talking about a contract. This may be fine in the sprit of indie/DIY, but it spells potential headaches and legal fees in the event of a dispute. There are aspects of a record deal that are too important to not reduce to a written agreement. Terms such as royalty points, payment of royalties, ownership of the masters, a guaranteed release provision on the part of the company and whether the artist can purchase the masters from the company are just some provisions that need to be put in writing.

After coming to an understanding orally as to the general terms with the company, have the understanding reduced to writing. There are multiple benefits to this. One, it serves to memorialize the understanding. There will most likely be a significant passage of time between the recording process and the release date. As time passes, memories fade and different versions of an oral agreement may begin to surface. A written contract will prevent this from happening. Secondly, while some types of oral agreements are enforceable, a written contract is more likely to be enforced by a court in the event of a dispute.

The contract does not have to be fancy or elaborate. It does not have to be drafted by an attorney or notarized. At minimum, it should set forth what each party is doing for the other: Artist agrees to record one recording and Company agrees to release Artist?s recording. Next, it must set forth the legal ?consideration?. This is what each party is giving to each other: Artist will record exclusively for Company for two recordings and Company will pay Artist eight royalty points per recording. Lastly, both parties should sign the writing.

The above example is simplistic but shows the necessity of a contract. There are many template contracts out there pertaining to the music industry. Beware of these. They are generic agreements and may not be specific to your situation. When in doubt, seek the advice of an attorney with knowledge of entertainment contracts.
